Merger between Oxalis Chemicals Ltd. and Japan Chemtech Ltd.

Oxalis Chemicals Ltd. (Headquarters: Daiba, Tokyo; Chairman: Gen Uyeno) and Japan Chemtech Ltd. (Headquarters: Daiba, Tokyo; Chairman: Minoru Murata) will merge on April 1, 2019.

The Uyeno Group recognizes development of its chemicals business as a key part of its growth strategies and aims to further strengthen its competitiveness through this merger. Oxalis Chemicals seeks to combine strengths of both companies and promote synergies between its chemical products sales and marine and land transportation businesses of the Uyeno Group. Changes to Company Name and Organization Following Acquisition of Shares of Shell Chemicals Japan Ltd.

On October 1, 2018, Uyeno Kosan Ltd. (Headquarters: Naka-ku, Yokohama City, Kanagawa Prefecture; Chairman: Takashi Uyeno) will acquire 100% shares of Shell Chemicals Japan Ltd. (Headquarters: Japan; Shareholder: THE SHELL PETROLEUM COMPANY LTD.).
*The share transfer agreement was concluded on December 21, 2017.

The Uyeno Group recognizes development of its chemicals business as a key part of its growth strategies in their Third Medium-Term Business Plan which commenced in April 2016. Through the acquisition of these shares, the Uyeno Group, sales distributor of Shell Chemicals in Japan, seeks to promote synergies between its chemical products sales and marine and land transportation businesses, and aims to further enhance collective strength as a chemical trading company.

Donation for the 2018 western Japan heavy rain disaster relief

We would like to extend our deepest sympathy and condolences to those who lost their lives in heavy rains and floods in western Japan in July 2018, and to all who have been affected by the disaster. We offer our sincere prayers for the early recovery of affected regions.

The Uyeno Group (Chairman, Takashi Uyeno) has decided to donate 1 million yen through the Kanagawa Shimbun Kosei Bunka Jigyodan (a public welfare organization), to support the reconstruction and recovery efforts for the areas affected by this disaster.

Uyeno Transtech Ltd. and the other companies of the Uyeno Group will continue to provide support for disaster recovery through stable transportation of petroleum products.

Conclusion of a Memorandum of Understanding for joint study on LNG bunkering based on the STS transfer model in Tokyo Bay

Uyeno Transtech Ltd. (Headquarters: Yokohama City, Kanagawa Prefecture; Chairman & President: Takashi Uyeno; hereinafter referred to as “Uyeno Transtech”), Sumitomo Corporation (Headquarters: Chuo-ku, Tokyo; Representative Director, President & CEO: Kuniharu Nakamura; hereinafter referred to as “Sumitomo Corporation”) and Yokohama-Kawasaki International Port Corporation (Headquarters: Yokohama City, Kanagawa Prefecture; President & CEO: Masamichi Morooka; hereinafter referred to as “YKIP”) (hereinafter referred to as “the three companies”) have concluded a memorandum of understanding (MOU) to conduct a joint study (hereinafter referred to as “the joint study”) on liquid natural gas (LNG) bunkering services for ships based on the ship-to-ship (STS) transfer model in Tokyo Bay.

LNG is characterized by lower levels of emissions of sulfur oxides (SOx), nitrogen oxides (NOx) and carbon dioxide (CO2) compared to the heavy fuel oil which has conventionally fueled ships. Worldwide, there are high expectations of LNG as an alternative fuel with minimal environmental impact that could enable the shipping industry to meet tougher regulations on SOx emissions which will apply to shipping in all ocean areas from 2020. It is now forecast that around one-quarter of all shipping fuel used worldwide will be switched to LNG by 2030, and demand for this fuel is expected to grow throughout the world. However, while Europe and the United States forge ahead with the use of LNG, the Asian countries including Japan lag far behind due to inadequate LNG supply infrastructure.

Tokyo Bay serves as the gateway to the Asian region for ships operating in the Pacific Ocean. Hoping to transform the Bay into a LNG bunkering hub, the three companies will carry out a joint study on LNG bunkering services in the Bay based on the STS transfer model using LNG bunkering ships, with consideration for possible participation of LNG-related companies in this project.

Uyeno Transtech is a company which serves as the marine transportation division of Uyeno Group. Over the approximately 150 years since its founding in 1869, the Group has handled the transportation, storage and sale of the petroleum and chemical products that are indispensable for both industry and citizens’ everyday lives in Japan, as well as solar and marine environment-related businesses. As a marine transportation company involved with the energy industry, Uyeno Transtech will work with its business partners to carry out this study on LNG bunkering services in Tokyo Bay with the aim of promoting the use of LNG as an alternative fuel for marine transportation in the next generation. Uyeno strives to become a truly sustainable business group through its ongoing contributions to the prevention of global warming and to the further development of society.

Sumitomo Corporation has been contributing to the development of marine transportation and trade across the world over the last 66 years through the safe, reliable and low-cost supply of shipping fuel, primarily serving shipping companies as its main customers. Sumitomo Corporation plans to work with its partner companies to build an industrial platform for the safe and reliable procurement and supply of LNG, a low-cost fuel with minimal environmental impact, and will meet new customers’ needs in addition to providing its conventional shipping fuel oil supply services. Through this joint study, Sumitomo Corporation aims to promote the use of LNG as a shipping fuel around the world while pursuing sustainable growth in harmony with the global environment.

As the port administration company for the Tokyo-Yokohama region, Yokohama- Kawasaki International Port Corporation (YKIP) provides integrated operation and management services for container terminals in Yokohama Port and Kawasaki Port and develops measures to further strengthening the international competitiveness of Japan’s ports in line with the Strategic International Container Port Policy. As part of the above efforts, YKIP has been working to develop a LNG bunkering hub in Tokyo Bay, centered on Yokohama Port, to respond to SOx emission regulations which will come into force across the world’s ocean areas from 2020. YKIP will continue to contribute to the sustainable development of society through the creation of an environmentally- friendly port serving as a hub for East Japan, providing an environment which will encourage port calls by LNG-fueled ships.

(Note 1) Ship-to-ship (STS) transfer: A technique in which an LNG bunkering ship is aligned alongside an LNG-fueled ship which is anchored to a berth or moored at a quay or wharf, and supplies it with LNG.

1. Purpose of business alliance
Tohbu Network transports a broad range of items, from soft drinks to petroleum and cement, using the latest vehicles, centering on trailers, and pursuing transport efficiency. It is an integrated distribution company that is listed on the TSE JASDAC. With the expertise it has accumulated throughout its long history in the trucking business, it also operates a 3PL business based on “proposing optimized distribution.”
As outlined in the Third Medium-Term Business Plan launched in April 2016, Uyeno Group is pursuing the realization of sustainable growth by expanding the scale of its operations, and the creation of new business spheres, in order to further solidify its business base. Through this business alliance, Uyeno Group aims to expand and enhance its businesses by making good use of Tohbu Network’s resources as well as Uyeno Group’s resources such as Uyeno Yuso Ltd., whose main business is the overland transport of petroleum and petrochemical products, Uyeno also aims to enhance its corporate value by generating synergies, which allow the provision of new services that differentiate it from other companies.

Acquisition of Shell Chemicals Japan Ltd.’s Shares

UYENO KOSAN LTD.((Headquarters:46 Naka-ku, Yokohama City, Kanagawa Prefecture, Chairman & President: Takashi Uyeno, hereinafter “Uyeno Kosan”) concluded a share transfer agreement with The Shell Petroleum Company Ltd. (Headquarters: London, UK), a shareholder of Shell Chemicals Japan Ltd. (Headquarters: 2-3-2 Daiba Minato-ku, Tokyo), for the transfer of all shares in Shell Chemicals Japan Ltd. (*company name is scheduled to change) as of December 21, 2017.

As outlined in the Third Medium-Term Business Plan launched in April 2016, the Uyeno Group is pursuing the realization of sustainable growth by expanding the scale of its operations, and the creation of new business spheres. In order to further solidify its business base, it is rising to the challenge of developing new businesses. To develop further, the Group believes it is strategically important not only to strengthen its existing comprehensive logistics business, but also to expand its chemicals business and further expand its overseas businesses.
The Uyeno Group has been trading with Shell Group for over 100 years, and in 1999 the two groups set up Japan Chemtech Ltd. as a joint venture selling chemical products. Japan Chemtech Ltd. is expanding the scope of its operations by building relationships with global suppliers and exporting to customers in China and Southeast Asia. With this latest acquisition of Shell Chemicals Japan Ltd.’s shares, the Uyeno Group will take on Shell Group’s chemicals business in Japan. Commencement of drone services business

Uyeno Green Solutions Ltd. (Headquarters: Naka-ku, Yokohama City, Kanagawa Prefecture, Representative Director & President: Gen Uyeno) undertakes the sale and construction of solar power generation facilities, and the sale of electricity from in-house solar power generation plants.
An amendment to the Feed-in Tariff (FIT) scheme in April 2017 made it mandatory to maintain, inspect and manage solar power generation facilities. In light of that, in addition to managing in-house power generation plants, from October 2017 Uyeno Green Solutions is launching a drone-based photography and inspection service.

In partnership with the Engineering Department of Uyeno Transtech Ltd., Uyeno Group’s maritime distribution business, Uyeno Green Solutions plans to initially provide a drone-based aerial photography service for ships, and then also launch a photography service that uses underwater drones.
Using underwater drones will make it possible to confirm underwater images in real time, and will enable underwater ship bottom and hull inspections to be carried out safely and at low cost. The drones have a design depth of 100 meters, and in addition to ships, they are also capable of carrying out equipment inspections underwater, and providing maintenance, inspection and management support for fisheries industry facilities.

For inspections of solar power generation facilities, Uyeno Green Solutions will use drones equipped with infrared cameras to provide photography and inspection services that are safe and low-cost and completed in a short period.

In the preparatory phase up to September 2017, in addition to aerial photography of solar power generation facilities using drones equipped with ordinary cameras, Uyeno Green Solutions undertook aerial photography of newly-built ships, filmmaking cooperation and other projects.
In the future, in addition to drone-based photography and data-provision services the company also plans to enter the crop dusting business.

Ceremony Commemorating Completion of the UGS Kanaya Solar Power Plant

Construction was carried out by a subsidiary of Uyeno Green Solutions Ltd. (president: Gen Uyeno), a company which operates a renewable energy business as part of the Uyeno Group .
A ceremony was held in Chiba on August 2 to commemorate the successful construction of the Uyeno Group's third large-scale solar power plant in Japan.
This large-scale solar power plant was completed on July 15, and all of the power generated by this plant is sold to Tokyo Electric Power Company.

Support for the 2016 Kumamoto earthquake victims

We pray for the repose of the souls of those who lost their lives and extend our heartfelt sympathy to all those affected by the Kumamoto earthquakes that occurred in April.
We sincerely pray for the earliest possible recovery and reconstruction of the disaster-stricken areas.
Uyeno Transtech Ltd. and its ship owners’ association゛Katabami-kai゛made a donation of 5 million yen to the Japan Chamber of Commerce and Industry through the Yokohama Chamber of Commerce and Industry to support economic recovery and reconstruction in the affected areas.

Crew members of the Uyeno Transtech ship Pacific Ethylene rescued a boy who had fallen into the sea.

While the Uyeno Transtech-owned ship Pacific Ethylene was anchored at the public wharf in Hyogo Ward, Kobe City, members of the crew worked together to rescue a young boy who had fallen from the wharf into the sea. The boy was not injured. In recognition, a letter of thanks was sent by the governor of Hyogo Prefecture to the crew members of the Pacific Ethylene.

Ceremony Commemorating Completion of the Miho Solar Power Plant

Construction was carried out by a subsidiary of Uyeno Green Solutions Ltd. (president: Gen Uyeno), a company which operates a renewable energy business as part of the Uyeno Group.
A ceremony was held to commemorate the successful construction of the Uyeno Group's third solar power plant in Japan.
The plant uses solar panels produced by Solar Frontier with a total output of 1 MW, and all of the power generated by this plant is sold to Tokyo Electric Power Company.

The Uyeno Group launches its first business for overland transport of liquefied natural gas (LNG)

On October 1, Uyeno Yuso Ltd. launched the Uyeno Group’s first business for overland transport of liquefied natural gas (LNG).
In preparation for the start of this overland transport business, a new truck depot was opened in Handa City, Aichi Prefecture on September 11 of this year.
In the future, we will continue working to acquire business in new fields as we utilize the expertise we have previously developed to provide safe and dependable transport services.

6 people rescued by SUNRISE SAMPAGUITA, south end of Mindanao

The Philippine coastal vessel, SUNRISE SAMPAGUITA (operated by TRANSNATIONAL UYENO MARITIME INC., Uyeno Group's local corporation in Philippines) rescued 6 crews of a drifting fishing boat , at 12:10 p.m. January 17 (local time in Philippines) on the way to Davao, Philippines, after passing through Sarangani Strait. A strong wind capsized the boat, and the 6 crews were rescued after drifting for 3 days. Finally, they were found with no injury, and were handed over to the Philippine Coast Guard.
